Purchase of the Portuguese Bakery proceeds: AdC approves deal

On June 25, 2025, the Board of Directors of the Competition Authority adopted a decision not to oppose the notified operation, as it is not likely to create significant barriers to effective competition in the national market or in a substantial part of it, according to information published today on the regulator’s website.

The AdC noted that Damm, a Spanish food sector company operating globally in the production, promotion, and marketing of a range of beverages, including beers, dairy products, chocolate-based products, coffee, and bottled water, intends to acquire 100% of the Portuguese company.

Damm is present in Portugal, distributing its beer brands and the dairy beverage Cacaolat, and producing and manufacturing Estrella Damm beer, private label beers, and non-alcoholic drinks. It is part of the DISA group, which in Portugal owns Prio and the Shell brand, the latter under a franchise agreement, and is involved in wholesale fuel marketing and biodiesel production.

On the other hand, the bakery and pastry chain A Padaria Portuguesa was founded 15 years ago by Nuno Carvalho and currently employs about 1,000 workers, with 84 stores in Greater Lisbon and Greater Porto and two factories in Lisbon and Porto.

At the announcement of the deal, the communication indicated that the purchase was made by the Spanish restaurant group Rodilla, although the notification of the transaction was issued by Damm, which owns 100% of it. The acquisition value remains undisclosed.

Founded in 1939 in Madrid, the Rodilla group owns the brands Rodilla, Hamburguesa Nostra, Vaca Nostra, Café de Indias, and Jamaica.
